1. Acceptance of Terms.

These Terms & Conditions ("Terms") govern your access to and use of the CoreaxPay website, merchant portal, payment gateway, APIs, and related services ("Services").

By registering for an account or using our Services, you agree to be bound by these Terms. If you do not agree, you should not use our Services.

2. Eligibility

To use our Services, you must:
•Be at least 18 years of age. •Be legally authorized to enter into binding agreements.
•Operate a lawful business in accordance with the laws of Pakistan and any other applicable jurisdiction.
•Successfully complete our merchant onboarding and KYC verification process.

Merchant approval is subject to our internal review, compliance requirements, and applicable regulatory obligations.

3. Merchant Account.

You agree to:
• Provide complete, accurate, and up-to-date information.
• Keep your login credentials secure.
• Notify us immediately of any unauthorized use of your account.
• Update your business information whenever changes occur.

You are responsible for all activities conducted through your merchant account.

You must not:
• Process transactions related to illegal goods or services.
• Submit fraudulent or misleading transactions.
• Engage in money laundering, terrorist financing, or other prohibited financial activities.
• Use the Services in violation of applicable laws or contractual obligations.

5. Payment Processing.

CoreaxPay provides payment processing services through supported payment methods and partner financial institutions.
Transaction processing, settlement, and payment availability may vary depending on:

• Payment method.
• Partner financial institution.
• Operational requirements.
• Regulatory obligations.

Processing of a payment does not guarantee final settlement where a transaction is later declined, reversed, disputed, or otherwise invalidated.

6. Merchant Responsibilities.

Merchants are responsible for:
• Delivering products or services as advertised.
• Maintaining appropriate customer support.
• Complying with consumer protection laws.
• Resolving customer complaints promptly.
• Protecting customer information collected through their own systems.

7. Fees.

Applicable service fees, transaction charges, settlement charges, or other agreed commercial terms shall be governed by the executed Merchant Agreement.
CoreaxPay may revise pricing by providing prior notice where required under the applicable agreement.

8. Settlements.

Merchant settlements will be processed according to the agreed settlement schedule and are subject to:
• Successful transaction completion.
• Fraud and risk reviews.
• Chargebacks or payment disputes.
• Banking operational timelines.
• Applicable legal or regulatory requirements.

9. Refunds and Chargebacks.

Merchants remain responsible for:
• Customer refunds.
• Chargebacks.
• Transaction disputes.
• Supporting documentation requested during dispute investigations.

CoreaxPay may withhold or deduct disputed amounts in accordance with the Merchant Agreement.

10. Compliance.

Merchants agree to comply with all applicable laws and regulations, including those relating to:
• Anti-Money Laundering (AML)
• Counter-Terrorism Financing (CTF)
• Know Your Customer (KYC)
• Consumer protection
• Tax obligations
• Electronic transactions

11. Suspension or Termination.

CoreaxPay may suspend or terminate access to the Services where:
• False information has been provided.
• Fraudulent or suspicious activity is detected.
• Legal or regulatory requirements require suspension.
• These Terms or the Merchant Agreement are violated.

12. Intellectual Property.

All trademarks, logos, software, content, and technology used within the Services remain the property of CoreaxPay or its licensors.
No rights are granted except as expressly provided in these Terms.

13. Limitation of Liability.

To the maximum extent permitted by law, CoreaxPay shall not be liable for any indirect, incidental, special, consequential, or loss of profits arising from the use of the Services.
Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.

14. Privacy.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

15. Changes to the Terms.

CoreaxPay may update these Terms from time to time.
The revised Terms become effective when published on our website unless otherwise stated.
Continued use of the Services constitutes acceptance of the updated Terms.

16. Governing Law.

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan.
Any disputes arising from these Terms shall be subject to the jurisdiction of the competent courts of Pakistan, unless otherwise agreed in writing.

17. Entire Agreement

These Terms, together with your Merchant Agreement, Privacy Policy, and any other policies referenced herein, constitute the entire agreement between you and CoreaxPay regarding the use of our Services, and supersede all prior agreements, understandings, and communications, whether oral or written.
